The WHO Foundation (WHOF), launched in May 2020 and headquartered in Geneva, was created as an independent Swiss foundation affiliated with but independent of WHO.

Its mission is to mobilize greater private capital and partnership to advance the mission of the World Health Organization (WHO), enabling catalytic impact on the people whose lives rely on WHO's work and facilitating innovation to maximize the impact of the resources we invest.


WHOF was therefore created as an independent Swiss foundation affiliated with but independent of WHO to marshal new resources from philanthropists, foundations, businesses, and individuals to support its mission: promote health, keep the world safe, and serve the vulnerable, while protecting the neutrality and independence of WHO as the world's leading health authority.

The WHO Foundation is seeking to appoint a Legal Counsel, to support the Legal team and help grow and scale the Foundation.


PURPOSE
The Legal Counsel supports the General Counsel in all activities carried out by the legal and compliance team.

The Legal Counsel will, notably but not limited to, be in charge of reviewing and drafting contracts, such as Letter-of-Intent, contribution agreement, service agreements, partnership agreements, conducting due diligence, drafting policies and help with legal research that is necessary to conduct the activities and strategy of the Foundation.

The goal is to ensure that the Foundation is acting in compliance with Swiss laws or any other laws applicable to the scope of work pursued.


REPORTS TO

The Legal Counsel will report to the General Counsel and will work closely with the COO of the WHO Foundation.

The Legal Counsel will also work in close collaboration with the other workstreams of the Foundation, such as Philanthropy, Partnerships, Campaigns, Communication, HR, Finance and Business Operations.

The position will be based in Geneva, with remote working possibilities.


ACCOUNTABILITIES & FUNCTIONAL RESPONSIBILITIES

Legal

  • Drafting and reviewing all types of contracts.
  • Conducting legal research regarding any topic related to the Foundation, such as data protection, employment law, tax law, charity law and risk management.
  • Reviewing contracts of different service providers.
  • Assisting and supporting the General Counsel in all tasks related to legal matters.
  • Drafting SoPs to monitor data through the different workstreams allowing compliance with data protection laws.
  • Drafting and translating various internal policies.

Governance

  • Assisting and supporting the General Counsel in all tasks related to the governance of the foundation, in particular the administrative tasks related to charity law, such as inscriptions and radiations of board members in the commercial register, followup of board meetings, drafting ToRs and other documents relevant to the governance of the Foundation.

Compliance / Due Diligence / KYC

  • Conducting and reviewing KYC.
  • Assessing compliance of donors with the Gift Acceptance Policy of the Foundation.

PROFILE

  • Master's degree in Law and completed bar exam or equivalent qualifications
  • 5 to 10 years experience in a corporate environment, preferably focusing on commercial law, data protection, or charity law.
  • Impeccable written and oral English communication skills. French language proficiency is a plus
  • A working experience in the global South is also an advantage
  • Practical experience with US law is a plus, particularly for profiles with previous work experience in Switzerland or other jurisdictions.
  • Versatility in legal fields experience, as a young organization tasks can go from charity law, investment law, legacies, commercial contract, etc.
  • International experience and/or experience in a startup environment, working with multiple stakeholders.
  • Agile and ITsavvy approach, proficient in Google G-Suite. Knowledge of Salesforce or other CRMs is a plus.
  • Strong organizational skills and ability to use initiative, prioritize, multitask, and work well under pressure to meet deadlines
  • Exceptional attention to detail.
  • Proactive, selfstarter with a solutionoriented attitude.
  • Demonstrates a strong sense of responsibility and can complete tasks autonomously with anticipation and bigpicture thinking.
  • Ability to develop trusted relationships, with high intercultural awareness, integrity, and good judgment, while fostering teamwork.
  • Comfort with and/or experience of operating in a lean, fastpaced, scaleup environment.
