JOB SUMMARY


Principle responsibilities are to identify, protect and advance the legal interests of the company; to ensure the company's compliance with the laws and regulations that govern its operation as a publicly traded enterprise engaged in worldwide marketing of medical devices.


Will be called upon to partner with sales, marketing, regulatory and medical affairs, and other company functions in deal finalization, and generate and review documents to facilitate business transactions and to enable and support the achievement of the company's operational and growth objectives for specific designated markets or business units.


Expected to counsel on company sales initiatives of the regions or business units in scope, in areas of law relevant to the company's initiatives, including competition, commercial, and tender laws.


The Legal Counsel supports and spreads continued awareness on compliance with applicable laws, corporate policies and ethical business standards, incl.

trade compliance and data privacy.


ESSENTIAL DUTIES
Duties are listed in order of greatest importance.

The incumbent may be asked to perform other function-related activities in addition to the below mentioned responsibilities as reasonably required by business needs.


  • Lead, supervise, and oversee legal matters, including contract drafting, dispute resolution, and litigation related to sales, marketing, and procurement.
Handle various contracts, such as tender, end-customer procurement, vendor, distributor, and agent contracts, including negotiation and termination.

Provide legal counsel and draft contract templates tailored to specific geographical regions and business units.

  • Assist in the design and development of legal and compliance processes and documents to support corporate compliance strategies and business optimization initiatives.
Participate in the implementation of legal and compliance processes, with a focus on contributing to third-party due diligence review processes and resolving due diligence findings

  • Support both Business Units (BUs) and functions in all areas in the UK Direct market, including the launch of the vascular closure and expanding the TM product line in the UK.
Ensure compliance concerning commercial, marketing, and research activities in the UK.

Provide support to Hospitals in the Indirect market and related third-party due diligence (3P DD). This includes support for EMEA launch activities in target countries such as Spain, Belgium, Netherlands, Turkey, and the Nordics.

  • Provide advice to internal clients on sales issues, compliance, and risk assessment, recommending appropriate approaches.
Translate legal requirements into succinct and meaningful operational principles for the business.

  • Stay knowledgeable about laws and regulations governing the company's operations.
Advise on current and emerging industry legal trends, legislation, laws, regulations, and company policies.

Provide recommendations on potential updates or changes to company policies.

Support the development and lead training on company policies.

  • May hire and supervise the delivery of specialized legal services from outside counsel, such as for litigation, competition law, or local laws.
  • Learn and understand the company's various products, services, organizational structure, and business activities.
Comprehend the company's relationships with customers, vendors, distributors, agents, and advisors.

  • Provide timely advice and counsel, including recommendations on actions.
Offer legal support on a as-needed basis for special projects and litigation.

May specifically be called upon to provide legal support in mergers and acquisitions due diligence activities.
