Position Summary:


The Corporate Finance Lawyer will work as a member of the Legal Team, assisting on all Gerald Group legal requirements, including corporate work and with a particular focus on finance documentation and arrangements.


Responsibilities:


  • Assisting on all financial and corporate matters of the Group, including particularly finance aspects.
  • Strong focus on and experience in finance, structured finance and bank finance facilities.
  • Interfacing with other business units within the Group (Desk, Operations, Credit, Treasury) to ensure internal client requirements met and Group requirements addressed.
  • Exposure to external customers and trade / finance counterparties.
  • Managing external law firms.
  • Negotiating and renewing group corporate facilities, revolving credit facility and borrowing base.
  • Bilat credit facilities and associated documents (security, guarantees) with individual group banks.
  • Working with local counsel on incountry, local security agreements, security and filings.
  • Structuring bespoke prepay offtake facilities, loans and investments into mining groups and producers.
  • Corporate and commercial service agreements and sale and purchase transactions; resolutions, powers of attorney, MoUs, NDAs and engagements.
  • M&A investments, shareholder agreement negotiations, deal closings and CPs management.
  • Responding to ad hoc queries from group personnel on all finance and corporate matters.
  • Other duties as required.

Key Skills and Experience:


  • Preferably England and Wales qualified solicitor and with Swiss qualification as a bonus.
  • At least 46 years PQE, strong experience in finance and facility documentation (credit facilities, guarantees, security documents, running deals and conditions precedent).
  • Solid grasp of intercreditor considerations
  • Exposure to project and/or commodities finance is desirable but not a requirement.
  • Rigorous attention to detail.
  • First class written and spoken communication skills a requirement. Confident, with strong interpersonal skills and team player approach.
  • Fluent English speaker.
  • Ability to work onsite 5 days a week.
