- Fully support and advise Sandoz Board of Directors, Chairman and Corporate Secretary in all legal and regulatory matters; support the Corporate Secretary in legal matters concerning the Board of Directors (drafting of minutes and resolutions, corporate filings, research and advice on ad hoc legal questions).
- Provide subject matter expertise in particular in Swiss Corporate Law and Corporate Governance best practices, including but not limited to SIX reporting obligations, Annual Report, ESG, remuneration, Annual General Meeting, share registry, shareholder and investor engagement.
- Ensure compliance, corporate housekeeping and governance of the activities of strategically important Sandoz Swiss subsidiaries with applicable corporate laws and regulations.
- Collaborate closely with the Sandoz Group Legal team, in particular Group General Counsel and Global Head Corporate & Finance Legal, and members of their teams, on the above-mentioned matters and as required.
- Provide expert legal advice to, and contribute to the decision-making process of, business partners, including but not limited to top and senior management, such as SEC members, Group Treasurer (incl. Deputy Group Treasurer and Head Group Investment Management), Global Head Investor Relations, Group Head of Communications & Advocacy for Sandoz.
- Law degree (Master), bar admission and/or LLM are a plus
- 5+ years of experience (post qualification) either in private practice (advising on public companies and Swiss corporate law) or inhouse in a corporate legal team (industry neutral)
